    For this assignment, each student is asked to evaluate the governance policy of a firm they might consider working for and then comparing that to an organization considered the students chosen firms top competitor. The main purpose of the exercise is to help make a connection between different governance elements (e.g., board composition, equity holdings by directors, executive compensation) and a firms financial performance. In their complaint, they claimed among other things that: Time and language differences could be a contributing factor as they are aware that the committee that oversaw the tender processes arent German proficient and critical aspect of the technical submissions were better presented in German language. The time zones for technical presentations were also unfavourable to them and this they considered unfair. They also indicated that they are aware the vendor approved does not have track record and the technical capability to execute the project, in a manner that deliver value. Furthermore, they indicated that their overall project commercials were 35% lower than the total value of the project being awarded to the said approved and preferred contractor. Additionally, they tendered evidence that one of the directors and a majority shareholder of the awardee company has been blacklisted from conducting business globally for breach of anti-corruption provisions in the Foreign Corrupt Practices Act (FCPA) of the United States of America. The complainant is making claim for liquidated damages up to the total cost of their participation in the entire tender processes that took more than 5 months of their involvement. REQUIRED: 1. Participant coordinator, um, some of my colleagues, they got into HR by going through recruiting, which honestly recruiting is probably the best way if you don’t have experience, uh, in HR, and if you can’t find an administrative assistant. type role that will introduce you to HR. So uh day to day is different depending on the level. So I am a senior HR generalist, and my role is basically to help the leaders with employee relation issues, to give them guidance on, you know, helping their employees, from an employee advocate standpoint. You know, I answer questions from the employees, they may have a payroll problem or benefits problem, but fortunately the company that I’m with right now, we have what we call a center of excellence, and that means that we have specialized apartments. You can uh go to employee relations for information on disciplinary and then we have a recruiting department and they handle getting the hiring and doing the background checks and things of that nature. And then of course, we have benefits. But, um, in my past, You Mm-hmm. Participant I’ve had to do all of that. So a generalist basically knows a little bit about each and every area but then the specialized or those categories that I just told you about. It is to me such a rewarding feel I I love human resources. I could not imagine, not working in that field, and although my degree is in business administration, You Okay. Participant there are people who cross over from all areas. So, a lot of people from sociology actually, which is really interesting, which is needed, because you are dealing with different personalities on a day to day basis. So, I don’t know, I, what else can I tell you about it? It’s like a very rewarding um You Yes. Participant it’s You It Participant just a rewarding career. It makes me You is. Participant so for me. Yeah. I went to school. I started out to go to nursing, but I was in a really bad accident and once I saw somebody break their leg. I was like, you know, this might not be for me, You Yes. You Yeah, we kind of have a similar story in that my 1st major was actually nursing. And Participant Mhm. You I shadowed somebody and I was like, I don’t think this is for me. This is too much. Those are the parts that can get to you and and I’m a highly empathetic person for everything that happens. I kinda soak it in. So I kind of just um have had to learn to let things go you know. I was able to go through academia now I’m in healthcare and having that exposure. Has helped me greatly uh throughout my years. I think everything fell into place exactly the way it should. You know, I would, I didn’t go straight to college. I worked full time and got all my degrees while working. That would probably be the only thing I changed is if I could have You Yeah. Participant went straight to college out of high school but that you know my family just couldn’t afford that so but now I wouldn’t change a thing. I I feel truly blessed doing what I do. Participant I would advise them to truly and really study the field and like I told you to do some job shadowing, if that’s an opportunity because a lot of people think that HR is, you know, all we want to do is fire people. We are the paper and pencil people, but we are very strategic to the organization. And people have to really and they a lot of people understand really what we do. But we do a lot of engagement. We do a lot of growth and development for an organization, so do some research, do that job shadowing, and do like you, just reach out to some people that you can talk to and kind of get their perspective on what goes on in HR. Lasting effects from past actions may be listed if they are still relevant. 4. Research the companys Board of Directors. Focus on serious issues such as: o Ethical or legal violations by board members (e.g., a CEO arrested for misconduct) o High turnover or vacancies o Composition issues (lack of diversity, limited experience, questionable backgrounds) o Compare these issues to competitors and note if they represent weaknesses or lingering effects. 5. Assess your firms financial condition compared to its competitors. Use information from annual filings (10Ks), company reports, or other websites. Focus on: o Net Income o Quick Ratio o Return on Assets (ROA) o Return on Equity (ROE) o Total Revenue o You do not need to calculate advanced ratios if you are unfamiliar with themuse reported data or common sources. Ensure you are using whole-year data with consistent ending dates (most likely December 31). 6. Create Table 2: Financial Analysis (see Sample Submission for format). o Use consistent units across each row (e.g., billions for revenue, decimals or percentages for ratios). o Calculate the Group Average manually by averaging across the row once all company data is entered. Do not copy averages from an online source. Incorrect averaging will be considered a major issue. o When citing financial data, always include the fiscal year. Try to use the same timeframe across all companies, since comparing 2024 for one company and 2025 for another will make your analysis less effective. 7. Analyze your companys performance relative to competitors and the group average. Identify where your firm is stronger or weaker. Take notes for use in your comparison list. o Comparisons should generally be made to competitors, the strategic group average, or (rarely) the industry average. o Exception: If a company is clearly failing to meet legal mandates, ethical standards, or societal expectations, you may note this as a strategic issue, but provide strong, reputable, and recent citations. 8. Revisit your earlier PESTEL and Porters Five Forces analyses. This time, focus specifically on your assigned company in relation to its competitors and the group average. Identify areas where your company is better or worse. o Some traits may connect to items in your first assignments list, but they must not all overlap. o At least 4 of your list items must come from Tables 1 and 2. o The remainder should come from PESTEL and Porters model factors. 9. Create a List of Current Acquired Trait Comparisons with at least two traits for each of the 11 model factors (one better than and one worse than for each). o Begin each item with your companys ticker symbol. o Use phrasing such as is better than or is worse than, followed by the comparison group and specific measure. Example: KHC is better than the strategic group average in terms of ROA.
