However, the Supreme Court has recognized an exception for closely regulated businesses, allowing agencies to conduct warrantless inspections. For this week’s discussion, answer the following questions: What are the criteria for determining whether a business qualifies as “closely regulated?” Do you think the exception for warrantless inspections of closely regulated businesses is justified? Why or why not? Provide an example of a business that should be considered closely regulated. How does the governments interest in regulating that business outweigh the business owner’s privacy rights?

    A Marriage ON THE ROCKS Your good friend Claire has finally had it with her husband Franks shenanigans, and after years of fighting and disharmony, Claire decides to finally call it quits and file for a divorce. She has moved to Lansing, Michigan, so the divorce filing is in that area. She comes to you, her longtime legal advisor, and wants your firm to represent her with the caveat that she wants this settled through mediation to avoid the uncertainty, delay, and cost of going to trial. Claire is desperate and needs this done quickly without waiting for trial, which will take about 2 years in this jurisdiction. The judge who drew the case is Judge Trudy, a very vocal jurist who has a local TV show, which at times takes up a lot of her time, delaying some of the cases on her docket. Unfortunately, you are not familiar with the family law mediations, so you must find out quickly what you should do to get the matter into mediation before Judge Trudy puts it on the trial docket. PART ONE: Conduct research regarding mediation once a complaint for divorce has been filed. Use resources found in the Purdue Global Library (i.e., Westlaw Campus Research) or other sources your instructor may suggest that would help in finding relevant state statutes, court rules, and other relevant case law within Ingham County, Michigan jurisdiction. Then, send a memo to Claire indicating what is required regarding court-ordered mediation in that jurisdiction (be sure to include citations for all relevant court rules, statutes, and case law). Include what steps are required to select a mediator, your strategy, if any, in doing so (who you will look for), who will pay for the mediator, when it will occur, and what the rules would be in private mediation. This will all support your memo summarizing the strategies you used in your research. PART TWO: Claire is wondering if it would be quicker and provide a better outcome to utilize a private mediator. Before the case gets to Judge Trudy, who is sometimes known to wait several months to order the mediation in her court, it might be advantageous to consider this. Be sure to inform Claire of the differences between private and court-ordered mediation. Again, include what steps are required to select a mediator, your strategy, if any, in doing so (who you will look for), who will pay for the mediator, when it will occur, and what the rules would be in private mediation. Prepare a memo to Claire guiding her. Be sure to: List the requirements and procedure for both court and private mediation. Compare the advantages to Claire in using either court or private mediation in this case. Categorize what qualifications and experience you would recommend Claire utilize in selecting the mediator in each.     Fact Pattern:

    • Timber, Inc. (“Timber”) is in the lumber business. It owns thousands of acres of land in Texas which they use to harvest timber–mostly Texas pine. While removing cut timber from Timber’s holdings in East Texas, Lynn, Timber’s logging foreman discovered a pool of oil, the size of a small pond.
    • Lynn reported it to Timber’s Chief Environmental Officer, who ordered an immediate cleanup operation.
    • The cleanup crew concluded that Timber had struck an oil reserve. It turned out that, Timber was sitting on one of the largest untapped oil reserves in the U.S.
    • Timber decided to try to purchase the land surrounding its current holdings, to assure that it would be able to control the all of the untapped oil in the region. In particular, Timber was intent in purchasing two parcels of land.
    • The first parcel was a mostly treeless cattle ranch, owned by Cattle, Inc.
    • The second parcel was a densely populated coniferous forest full of mature pine ready for harvesting, owned by Pulp and Paper, Inc.
    • Timber asked Lynn to approach both companies and offer to purchase their land.
    • Cattle, Inc.’s CEO asked Lynn: “Why would Timber, Inc. be interested in purchasing our treeless grazing land?”
    • Lynn said that “Timber is considering diversifying into cattle ranching, as a way to hedge against fluctuations in the pine lumber market.”
    • This was a boldface lie. Timber’s CEO had told Lynn to do whatever it takes to get ahold of the two parcels of land.
    • Cattle, Inc. agreed to sell of its land to Timber at a price twice the current market value.
    • Pulp and Paper’s CEO, was a bit more skeptical. She requested that she be given a tour of Timber’s land, as a way to assure herself that Timber was not up to something shady.
    • Timber agreed to the visit–however, before the visit Timber covered up the pool of gurgling Texas crude with thousands of timber logs, completely obscuring any sign of Timber’s oil strike.
    • Pulp and Paper’s CEO passed by the crude oil pool but all that she saw were thousands of pine logs.
    • Pulp and Paper agreed to sell all of its land to Timber for twice its current market value.
    • In both cases, Timber was able to acquire thousands of acres of land that were in fact worth 50 times their current market value.

    Case Study – The Equifax Data Breach

    In 2017, from mid-May to July, hackers gained unauthorized access to servers used by Equifax, a major credit reporting agency, and accessed the personal information of nearly one-half the U.S. population. Equifax executives sold off nearly $2 million of company stock they owned after finding out about the hack in late July, weeks before it was publicly announced on September 7, 2017, in potential violation of insider trading rules. The companys shares fell nearly 14 percent after the announcement, but few expect Equifax managers to be held liable for their mistakes, face any regulatory discipline, or pay any penalties for profiting from their actions. To make amends to customers and clients in the aftermath of the hack, the company offered free credit monitoring and identity-theft protection. On September 15, 2017, the companys chief information officer and chief of security retired. On September 26, 2017, the CEO resigned, days before he was to testify before Congress about the breach. To date, numerous government investigations and hundreds of private lawsuits have been filed as a result of the hack.
