Case to Analyse:

You are running a legal consultancy firm in Muscat. You have been approached by two investors; one

Omani and the other is European businessman. They together want to start a real estate business.

They need your advice on the business structure that will be suitable to establish and the legal

commitment and requirements to open a real estate company. Discuss their partnership

agreements, shareholders agreements, corporate structures and exclusivity non-disclosure and

collaboration agreements. They want to know all documents required, time to obtain the approvals

from Oman’s Ministry of Housing and Urban Planning (MHUP). They want information about legal

conditions about the law of Integrated Tourism Complexes and the new Foreign Capital Investment

Law.

Tasks to do:

Structure the assignment as follows:

1. Introduction. (20 marks; 400 Words).

a) Write clear introductory statements, which would outline the importance of opening the Real Estate

Business in the Sultanate of Oman to expats investors that is related to the case set for analysis.

b) State the objectives of your coursework.

2. Discussion. (60 marks; 1300 Words)

a) Critically discuss the companys legal personality and business structure that the investors need to

comply with the requirements in accordance with the law.

b) Critically analyse and discuss the formation of the business which includes the documents required,

all the costs involved, prescribe time needed for approvals at the different phase. Write substantial

arguments about the specific law that influences the actions of the partners in the given case. Justify

your arguments by supporting them with pieces of literature. Ensure that correct in-text citations are

reflected in the full text of your paper.

c) Critically discuss the significance of Integrated Tourism Complexes law and its importance to the

economy of Oman.

d) Critically discuss the importance of the new Foreign Capital Investment Law in the Real Estate sector.

3. Conclusion. (20 marks; 300 Words)

Outline the significant points of information that you have discussed in your paper.
