Homework Assignment Week #3

Read the required reading assignment for this week and based on the following case study, answer the questions below. Your responses should demonstrate a clear understanding of construction disputes, liquidated damages, warranties, latent defects, contract termination, force majeure, site conditions, and the owner’s right to inspect.

GreenBuild Inc. was contracted to construct a 20-story office building for TechCorp in downtown Miami, Florida. The contract included the following key provisions:

– Completion date: 24 months from groundbreaking

– Liquidated damages: $10,000 per day for delays

– 5-year warranty on all major systems

– Force majeure clause covering “acts of God” and “unusual weather conditions”

– Contractor’s responsibility to inspect site conditions before commencing work

– Owner’s right to inspect work at any time

Six months into the project, GreenBuild discovered rock formations that weren’t indicated in the initial geological survey, causing delays and additional costs. At the 18-month mark, a category 4 hurricane hit Miami, causing significant damage to the partially completed structure and further delays.

The building was completed 3 months behind schedule. Shortly after TechCorp moved in, they discovered issues with the HVAC system, which GreenBuild claimed were due to improper maintenance. Additionally, cracks began appearing in the parking garage floor two years after completion.

Questions:

1. Analyze the potential construction dispute regarding the rock formations. How might this be resolved, and what legal principles would apply?

2. Calculate the potential liquidated damages based on the delay. Discuss any factors that might affect the enforcement of these damages.

3. Evaluate the warranty claim for the HVAC system. What factors would a court consider in determining liability?

4. Explain the concept of latent defects in relation to the parking garage issue. How does this differ from patent defects?

5. If TechCorp wanted to terminate the contract for cause due to the delays, what steps would they need to take? What defenses might GreenBuild have?

6. Analyze how the force majeure clause might apply to the hurricane situation. What additional information would you need to make a determination?

7. Discuss the importance of site condition clauses in construction contracts. How might the outcome differ if GreenBuild had or hadn’t properly inspected the site before commencing work?

8. Explain the significance of the owner’s right to inspect in construction contracts. How might this clause have affected the project outcomes if utilized effectively?

Your responses should be well-structured, cite relevant legal principles or case law where appropriate, and demonstrate critical thinking in applying these concepts to the given scenario.
